These Terms of Service ("Terms") govern your access to and use of the tanoit.com website and any other website, application, or service operated by Tanoit LLC ("Tanoit," "we," "us," or "our") that does not have its own separate terms of service (collectively, the "Services").
Please read these Terms and our Privacy Policy carefully before using our Services.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you are not permitted to access or use our Services.
Acceptance of Terms; Binding Arbitration
1. Acceptance of Terms
By accessing or using the Services, you acknowledge that you have read and understand these Terms and our Privacy Policy, and agree to be bound by them and to comply with all applicable laws and regulations. This agreement is a legally binding contract between you and Tanoit.
2. Representations and Warranties
You represent and warrant that you have the legal right, capacity, and authority to enter into this agreement, and that your use of the Services will be in accordance with these Terms.
3. Mandatory Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
These Terms include a mandatory Binding Individual Arbitration provision and a Class Action Waiver (detailed below). This means that, with limited exceptions, any dispute between you and Tanoit must be resolved through binding individual arbitration, not in court by a judge or jury, and not as part of any class, representative, or consolidated action.
If you do not agree to any part of these Terms, you are not permitted to access or use the Services.
Supplemental Terms for Specific Products
Some Tanoit products are governed by additional, product-specific terms. Where those supplemental terms conflict with these general Terms, the supplemental terms control for that product.
- Tanoit Games (including Trapd and future games) are governed by our Games Terms of Service, which supplement and are incorporated into these Terms.
- Jurnee is governed by its own Terms of Service, available at jurnee.xyz/terms.
Access to the Service
1. Eligibility
To access and use the Services, you must be at least 13 years of age. Some products may set a higher minimum age in their supplemental terms; the stricter age requirement applies for that product.
2. Accounts
Certain Services may require you to register an account. Where an account is required, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account, and you must notify us promptly at contact@tanoit.com if you suspect any unauthorized use.
We reserve the right to disable any account at any time if, in our reasonable opinion, you have failed to comply with any provision of these Terms.
Changes to the Services
1. Updates
We may provide updates, upgrades, bug fixes, patches, and new features for the Services (collectively, "Updates"). These Updates may be applied automatically, and these Terms apply to all such Updates.
2. Modifications and Discontinuation
We continuously evolve our Services. Therefore, we reserve the right, at any time and without liability, to:
- Modify, add to, or remove any content, feature, or functionality of the Services.
- Change the equipment or software required to access the Services.
- Impose limits on certain features or restrict your access to part or all of the Services.
- Discontinue the Services altogether.
Not all Services or features are available in all geographic areas.
3. Third-Party Dependencies
Some features of our Services may rely on third-party providers. You acknowledge that we are not responsible for the actions, inactions, or service changes of these third parties. If a third-party service becomes unavailable, the corresponding feature may be suspended or discontinued without liability to us.
Intellectual Property Rights
1. Ownership
The Services, including all content we create and provide (text, graphics, images, designs, software, and their selection and arrangement, "Content"), and the underlying trademarks, copyrights, patents, and other intellectual property rights, are the exclusive property of Tanoit and its licensors, and are protected by international intellectual property laws.
2. Limited License to You
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services and our Content for your personal, non-commercial use. No other right or license is granted.
3. Restrictions
You may not copy, modify, distribute, sell, or lease any part of our Services or Content, nor may you reverse engineer or attempt to extract the source code of our software, unless expressly permitted by law or you have received our written permission.
Prohibited Activities
You agree not to engage in any of the following prohibited activities in connection with your use of the Services:
Scraping and Automated Access
You may not use any automated means—such as robots, spiders, crawlers, scrapers, scripts, or other data-gathering or extraction tools—to access, monitor, copy, or collect any data, content, or information from the Services.
Circumventing Security
You may not attempt to bypass, disable, or circumvent any security, access-restriction, or authentication measures we employ (e.g., CAPTCHA, IP blocking, or rate limiting).
Malicious Code & Attacks
You may not upload, post, transmit, or otherwise make available any content that contains viruses, worms, Trojan horses, logic bombs, ransomware, adware, malware, or any other harmful or malicious code designed to interrupt, destroy, or limit the functionality of the Services or any computer software or hardware.
Any unauthorized access or activity may result in the immediate termination of your account and may subject you to legal action.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.
To the fullest extent permitted by applicable law, Tanoit disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Tanoit does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Your use of the Services is at your sole risk.
Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LEGAL LIABILITY TO YOU.
1. No Liability for Certain Damages
To the maximum extent permitted by applicable law, Tanoit (including its officers, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Services.
2. Cap on Liability
To the maximum extent permitted by law, our total cumulative liability to you for any and all claims arising out of or relating to these Terms or your use of the Services shall not exceed the greater of:
- One Hundred U.S. Dollars ($100.00), or
- the total amount of fees you actually paid to us for the specific Service(s) giving rise to the claim in the twelve (12) month period immediately preceding the event giving rise to the liability.
A product's supplemental terms may set a different cap for that product, in which case the supplemental cap controls.
3. Jurisdictional Limitations
Some states and jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Tanoit (and its officers, directors, employees, and agents) from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your access to or use of the Services, your violation of these Terms, or your violation of any third-party right.
Governing Law, Arbitration & Class Action Waiver
PLEASE READ THIS ENTIRE SECTION CAREFULLY. IT REQUIRES THE USE OF MANDATORY BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
1. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
2. Agreement to Arbitrate
You and Tanoit agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services will be resolved solely by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in the State of Florida, and not in court — except that either party may bring an individual action in small claims court if it qualifies.
3. Class Action Waiver
YOU AND TANOIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
4. Opt-Out Right
If you are a resident of the United States, you may opt out of this arbitration agreement by emailing contact@tanoit.com with your name and a clear statement that you wish to opt out, within thirty (30) days of the date you first agree to these Terms. Opting out does not affect any other provision of these Terms.
Miscellaneous
These Terms constitute the entire agreement between you and Tanoit regarding your use of the Services (together with any applicable supplemental terms) and supersede all prior agreements. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions remain in full force. Our failure to enforce any right under these Terms is not a waiver of that right. You may not assign your rights or obligations under these Terms without our prior written consent.
